License Agreement
Sound Recording / Beats — Onyx Beat Pack

This agreement is entered into between Zeke Saph ("Licensor") and the purchasing artist ("Licensee"). By purchasing the Onyx Beat Pack, you agree to the terms outlined below. Licensor controls all mechanical rights to the compositions contained within this pack.

Master Use
Record vocals over the composition partly or in its entirety in substantially its original form.

Mechanical Rights
Reproduce, duplicate, manufacture and distribute recordings worldwide. Unlimited copies.

Performance Rights
Unlimited non-profit performances, shows, and concerts. No compensation may be received from performances under this license.

Synchronization Rights
One (1) music video for unlimited online streams. Separate license required for TV, Film, or Video Game distribution.

Broadcast Rights
Broadcast or air the master recording on unlimited radio stations. No compensation may be received for such broadcasting.

Publishing
Licensee owns 100% of publishing rights. Licensor retains 0% of publishing rights.
Credit
Licensee shall acknowledge the original authorship of the composition appropriately and reasonably in all media and performance formats under the name "Zeke Saph" in writing where possible and vocally otherwise.
Consideration
In consideration for the rights granted under this agreement, Licensee shall pay to Licensor the sum of $27.00 US dollars, payable to "Timothy Matthew Brice." If the Licensee fails to complete payment or maintain sufficient bank balance, the Licensor reserves the right to terminate this license upon written notice. Such termination shall render any recording, manufacture, or distribution subject to actionable infringement under the United States Copyright Act.
Delivery
The composition shall be delivered via email to the address provided by Licensee at the time of purchase. Licensee shall receive an email containing an attachment or download link for the compositions.
Audio Samples
Third party sample clearance is the sole responsibility of the Licensee. Saph Records assumes no liability for uncleared samples within the compositions.
Indemnification
Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, and expenses, including reasonable attorney's fees, arising out of or resulting from a claimed breach of any of Licensee's representations, warranties, or agreements hereunder.
Miscellaneous
This license is non-transferable and is limited to the composition specified above. It does not convey or grant any right of public performance for profit, constitutes the entire agreement between the Licensor and Licensee relating to the composition, and shall be binding upon both parties and their respective successors, assigns, and legal representatives.
Governing Law
This license is governed by and shall be construed under the law of the State of Texas, United States of America, without regard to the conflicts of laws principles thereof.
